EASEDTALK S.L. is a technology company, with its registered address in Barcelona, Spain, European Union.
Our Service allows companies and individuals to conduct video conferences worldwide, leveraging automatic speech-translation technology for meeting participants.
These Terms of Service (“Terms”) govern your access to and use of the free and paid services, software, and website (collectively, the “Service”), as well as communication channels provided or used by Easedtalk S. L. (“Easedtalk,” “we,” “us,” or “our”).
By accessing or using our Services, you (the “User”) agree to comply with these Terms, our Privacy Policy, and any additional terms referenced below or otherwise applicable to specific Service functionality (collectively, the “Agreement”). This Agreement is legally binding.
Please read these Terms carefully before using the Services.Your use of the Services constitutes your binding acceptance of these Terms and your agreement to comply with them in full. If you do not agree with any of these Terms, you must not use the Services.
1. Acceptance of the Agreement
By accessing or using our Services, you acknowledge and agree to the terms of this Agreement, which is a legally binding contract between you and Easedtalk. You also represent and warrant that you have the necessary legal capacity and competency to enter into such a contract. Use of the Service is permitted only upon your full and unconditional agreement with all the terms of this Agreement.
By using the Services, you represent and warrant that you are at least the age of majority in your jurisdiction, but in any case, not less than eighteen (18) years of age (unless otherwise expressly permitted by the laws of your jurisdiction).
The terms "you," "your," and "yourself" also include your employees, agents, business representatives, and any other persons to whom you grant access to the Services through your Account (as defined below). You are solely responsible for ensuring that all persons accessing the Services through your Account are aware of and comply with these Terms.
Easedtalk reserves the right to revise and update these Terms from time to time at its sole discretion. All changes are effective immediately upon posting. For material changes, we will endeavor to provide reasonable notice. Your continued use of the Services following the posting of the revised Terms means that you accept and agree to the changes. We encourage you to check this page frequently to be aware of any changes, as they are binding on you, and to check the Terms before each use of the Services.
2. Easedtalk Services
Our Service allows users to conduct audio and video conferences, and features automatic speech recognition and its conversion into text in a selected language (subtitles, chat). The Service also provides functions for translating conversations, creating a brief meeting summary, and generating a complete protocol (transcript).
You may use the Services either through a limited Trial Version ("Trial" or "Demo Version") no more than once for evaluation purposes, or through a paid subscription-based version of the Services, for which you will be charged according to the applicable subscription terms.
We grant you a limited, non-exclusive, non-transferable license to access and use our Services. You are solely responsible for taking all necessary actions for the correct use of the Service, including, but not limited to:
Registration and accurate data entry;
Maintaining a compatible device and browser version;
Ensuring sufficient granted browser permissions (e.g., microphone and camera access); and
Providing and maintaining a high-quality, high-speed internet connection.
3. Rules of Conduct
3.1. Access to Services and Usage Restrictions
We grant you a limited, non-exclusive license to access and use the Services in accordance with these Terms. Under these Terms, you are strictly prohibited from engaging in the following activities:
Violating or infringing upon the intellectual property rights of Easedtalk or the intellectual property rights of others;
Using the Services in any manner that violates any applicable federal, state, local, or international laws, regulations, or governmental orders;
Impersonating or attempting to impersonate Easedtalk, an Easedtalk employee, another user, or any other person or entity;
Manipulating or forging identifiers in order to conceal the origin of any information posted on the Platform or otherwise provided to us or our employees;
Engaging in data scraping, data harvesting, or bulk data extraction from the Service using automated software or manually in bulk (unless we have given you separate written permission to do so);
Using an automated method to access the Service or gaining unauthorized access to the Service or to any account or computer system connected to the Service;
Obtaining or attempting to obtain unauthorized access to sections of the Service and systems related to the Service;
Accessing or using the Services in any manner that could disable, overburden, damage, impair, or degrade the Services or interfere with any other party's access to and use of the Services;
Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Attempting to circumvent or reverse engineer the Service and systems related to the Service;
Engaging in spamming, phishing, pharming, scanning, unauthorized reproduction, or other similar activities;
Committing any other acts that may harm Easedtalk or the users of the Services or expose them to liability.
3.2. User Data and Content Responsibility
You and other video conference participants are solely responsible for any content that is created, transmitted, displayed, or otherwise becomes part of the User Data in the Service.
By uploading, transmitting, displaying, or generating materials, audio recordings, video, transcripts, or files ("User Data"), you confirm, represent, and warrant that:
You own or have the necessary rights and licenses to the User Data; and
The processing and use of such User Data by Easedtalk does not violate applicable laws, regulations, or orders.
Specifically prohibited is the creation, transmission, or display of any user data that falls under the following categories:
Illegal or Offensive Content:
that is defamatory, obscene, offensive, aggressive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
that promotes sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
that causes annoyance, inconvenience, or unnecessary anxiety, or is likely to upset, embarrass, or alarm any other person;
that violates any applicable laws, regulations, and legal acts of your jurisdiction, the jurisdiction of Spain, or the jurisdiction of the European Union.
Violation of Intellectual Property and Privacy Rights:
that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of third parties;
that discloses confidential or private information of other persons or organizations without proper authorization;
that violates the legal rights of third parties, including rights of publicity and privacy, or may give rise to civil or criminal liability.
Promotion of Illegal Activity and Technical Threats:
that encourages or facilitates any illegal activity or action;
that contains viruses, malware, spyware, or other harmful content or code;
that otherwise violates this Agreement or may cause harm to the Service, Services, Easedtalk's suppliers and providers, or other users.
3.3. Recording and Transcription Features
The Service provides the capability to record communication sessions and/or translate them, resulting in a text transcription with the option to download these materials.
Laws governing the recording of communications, often referred to as interception or wiretapping laws, vary significantly by jurisdiction. These laws dictate whether one-party consent or all-party consent is required for recording.
You are solely and exclusively responsible for complying with all applicable laws and regulations, including, but not limited to, the legal requirements for recording and obtaining the necessary consent from all participants in a communication session.
Easedtalk explicitly does not support the use of the Service for any illegal purposes.
3.4. Use of the Service is at your own risk
You agree that you are solely responsible and liable for any content created, transmitted, or published by you through the Services (including all user data), as well as for any and all liabilities and consequences arising from such recording, transmission, or publication.
4. Monitoring and Enforcement
We reserve the right to investigate and take appropriate legal action at our sole and absolute discretion against anyone who violates these Terms. We have the right to:
To remove or take any remedial action with respect to any User Data if we deem it necessary to ensure compliance with these Terms or to protect the rights or safety of users or Easedtalk;
To suspend or terminate access to the Services, in whole or in part, for any user in the event of a violation of these Terms;
To take appropriate legal action, including referral to law enforcement, in the event of illegal or unauthorized use of the Services.
Without limiting the foregoing, we have the right and duty to cooperate fully with any law enforcement authorities or courts acting within the jurisdiction of Spain and/or the European Union that issue a lawful request or order us to disclose the identity or other information of anyone posting any materials on or through the Service.
When receiving requests from other jurisdictions, we will consider and respond to them in compliance with the requirements of the laws of Spain and the EU, including the General Data Protection Regulation (GDPR).
You release and waive any and all claims against Easedtalk, its affiliates, licensees, and service providers arising out of any actions taken by any of the aforementioned parties during or as a result of investigations conducted by such parties or law enforcement authorities.
Easedtalk does not undertake to actively review or monitor the content displayed by users during video conferences, transmitted through the Service, or information included in meeting protocols (transcripts) and summaries. Accordingly, Easedtalk is not liable for any actions or inactions of users or third parties regarding such content or information, and is not liable to anyone for the performance or non-performance of actions described in this section.
5. Ownership
5.1. Easedtalk Materials
The Service and its entire content, features, and functionality (including but not limited to all information, software, text, images, voice data, video and audio, and the design, selection, and arrangement thereof) are the exclusive property of Easedtalk, its affiliates, licensors, or other providers of such material. These assets are protected by international laws regarding copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights.
Easedtalk, its affiliates, and licensors are and shall remain the sole and exclusive owners of all rights, title, and interest in and to all intellectual property rights associated with the Service.
You must not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, utilize, commercially exploit, or distribute in any way or medium (including via email or other electronic means) any materials from the Service, unless expressly permitted by these Terms or by the owner(s) of the materials.
We hereby grant the User a limited, non-transferable, non-exclusive, non-sublicensable license to use the Services solely in accordance with this Agreement and for its intended purposes. Except for the right to use the Services as set forth in this Agreement, you do not receive any other licenses or rights, including Easedtalk's intellectual property rights or other proprietary rights.
You understand that you have no rights to the Service, the Services, or any other property of Easedtalk, except for the rights specified in these Terms. All rights not expressly granted herein are reserved by Easedtalk.
5.2. User Materials
The User retains all ownership rights in the materials created or uploaded by them through the use of the Service ("User Data").
By transmitting, uploading, or posting such User Data on or through the Service, you hereby grant Easedtalk a worldwide, non-exclusive, irrevocable, royalty-free license to access, process, copy, export, and display this Data only to the extent necessary to perform the Service and for the following limited purposes:
to provide, maintain, and update the Service functionality;
to prevent or troubleshoot service, security, support, or technical issues;
to comply with legal requirements;
or as otherwise explicitly permitted by your written consent.
The User represents and warrants that they possess all necessary rights, licenses, and consents to their Data to grant the license set forth herein.
5.3. Feedback
We value User feedback and suggestions regarding the Services. By submitting such feedback or suggestions to us, the User grants Easedtalk a non-exclusive, irrevocable, perpetual, sublicensable, transferable, royalty-free license to use, reproduce, distribute, display, disclose, and create derivative works based on these materials for any purpose without any obligation or compensation to the User.
You acknowledge and agree that all Feedback is provided on a non-confidential and non-proprietary basis. Easedtalk is not obligated to use the provided feedback or suggestions and is not liable for the consequences of their use.
6. Registration and Account Security
To access certain features of the Service, you must create an account ("Account") and provide personal and/or demographic data upon registration or login. Some features of the Service are only available to registered users and require authorization.
Easedtalk reserves the right to reject the username and/or email address you provide if they are:
already in use by another user;
misleading or capable of being interpreted as impersonation;
belonging to another person;
infringing the intellectual property rights or other rights of third parties;
offensive or objectionable for any other reason at Easedtalk's discretion.
You agree to provide truthful, accurate, current, and complete information upon registration and to promptly update it, including contact details for communication with you. The information must accurately describe you, and you are not permitted to impersonate other individuals or organizations.
Your Account is non-transferable. You are not permitted to sell, transfer, or otherwise disclose your account details to third parties. You bear sole and exclusive responsibility for maintaining the confidentiality of your account details (including the password) and for any and all activities that occur under your account, regardless of whether they were authorized by you. In the event of providing false, inaccurate, outdated, or incomplete information, or Easedtalk's suspicion of such a case, we may immediately suspend or terminate your access to the registered sections of the Service. Any personal information will be processed in accordance with Easedtalk's Privacy Policy.
All data used to access your Account (including username, password, and recovery codes) is strictly confidential. Regardless of whether this data was personally chosen by you (e.g., during registration) or provided to you by us (e.g., by the system), you are obliged to keep it secret and not disclose it to third parties. You are responsible for all activities occurring when accessing the Services through your Account, regardless of whether you are authorized.
We are not liable for any loss or damage arising from your failure to protect your password or Account details. You agree to immediately notify Easedtalk upon becoming aware of any unauthorized use of the account, username, password, or any other security breach. When using public or shared devices, you must exercise particular caution so that others are unable to access your account credentials.
Easedtalk takes reasonable technical and organizational measures to ensure the security of access, including encrypting passwords and implementing means that complicate automated credential-stuffing or brute-force attacks on access credentials.
However, Easedtalk does not guarantee the complete inviolability of accounts. Due to the possibility that a malicious actor may guess the login and password as a result of insufficient password strength or through other unauthorized methods, you acknowledge and agree that Easedtalk disclaims all liability for any damage, loss, or unauthorized actions that occur as a result of your account being compromised.
You are solely responsible for selecting a strong password and keeping it secret.
Easedtalk has the right, at its sole discretion, to:
disable any username, password, or other identifier;
suspend or terminate access to the Services in case of a violation of these Terms;
take any measures to necessary protect the Service, users, and its rights within the scope of these Terms.
7. Payment Terms
7.1. Purchases and Payment Processing
All payments for Easedtalk Services, including subscriptions, subscription renewals, and individual sessions, are solely processed through a third-party payment processor, Paddle ("Payment Processor"). The Payment Processor, Paddle, is the Merchant of Record (MoR) for all transactions.
Easedtalk disclaims any and all liability for payment processing and related fees or errors caused by the Payment Processor. Easedtalk does not collect, store, or process the full details of your bank card, sensitive payment data, or other credentials used to make payments.
Subscription renewal, if provided for by the selected tariff plan, is carried out automatically on the billing cycle by the Payment Processor by debiting funds from the payment instrument specified by you when subscribing, in accordance with the terms of the selected tariff.
By using the Services and making a payment through the Payment Processor, you agree to the payment terms, invoicing, and privacy policy of the Payment Processor. Easedtalk is not responsible for any errors, delays, or failures related to payment processing by the Payment Processor.
Easedtalk reserves the right to suspend or cancel access to the Services in the event of:
refusal of payment processing by the Payment Processor;
suspicion of fraud or unauthorized transactions;
or other circumstances where the provision of the Services may violate applicable legislation.
7.2. Fees and Taxes
All prices for the Services are listed exclusive of all applicable taxes, levies, duties, or similar governmental assessments of any nature, including Value Added Tax (VAT), sales tax, use tax, or withholding tax levied in any jurisdiction (collectively, the "Taxes").
All such Taxes, if applicable, will be calculated and added automatically by the Payment Processor during payment.
The User is solely responsible for paying all Taxes associated with the use of the Services, with the exception of taxes calculated on Easedtalk's net income taxes. Easedtalk disclaims all liability for errors in the calculation, collection, or payment of Taxes by the Payment Processor.
7.3. Subscriptions
Access to the use of the Service's features is provided on a subscription basis ("Subscription"), governed by the type and duration selected within the User's Account. Subscriptions may be categorized as:
Fixed-Term (Non-Renewing, One-Time): Provides access to the Services for a fixed, predetermined period without automatic renewal.
Recurring (Automatically Renewable): Provides continuous access to the Services, automatically renewing at the end of each billing period, and is paid for via recurring payments.
Each subscription tier includes a limited number of video conference sessions with automatic multilingual speech translation. A session lasts a specific amount of time, as described in our pricing section.
The billing period for automatically renewable Subscriptions is chosen by the user and can be monthly or annually. Activating an automatically renewable subscription constitutes your acceptance of regular debits in accordance with the selected period.
The Payment Processor is utilized for both initial payment and automatic renewal. After selecting a Subscription, the user is redirected to the Payment Processor's platform to enter their payment details. The Payment Processor handles the payment, including debiting funds for the current and subsequent periods, and issuing electronic receipts, in accordance with the selected tariff and period. Easedtalk does not store users' payment card details and disclaims responsibility for payment processing conducted through the Payment Processor.
Subscription renewal occurs automatically through the Payment Processor at the end of the paid period. The user may cancel the Subscription renewal at any time before the end of the current paid period through the personal account in the "My Subscriptions" section or via the cancellation link contained in the email from the Payment Processor sent upon the initial activation of the Subscription. After canceling the Subscription, the user retains access to the Service until the end of the already paid period.
The user has the sole responsibility to maintain the validity and accuracy of the payment method data directly on the Payment Processor's website. Payment debits are carried out automatically in accordance with the terms and type of the selected Subscription.
7.4. Price Changes
Easedtalk reserves the right to adjust pricing for the Subscription at any time. Any price changes will only take effect upon the commencement of the next billing cycle following the expiration of the already paid period. The cost of the already paid period shall remain unchanged. Renewal for the subsequent period will be carried out at the new rates, unless the User has canceled the Subscription before the end of the current paid period.
The user will be provided with timely notice of any changes to the Subscription price in advance via the email address provided during registration, and/or through the user account on the platform, and/or through the Payment Processor. Continued use of the Subscription after the changes take effect shall be deemed acceptance of the new payment terms.
8. Term and Termination, Subscription Cancellation, and Refunds
8.1. Subscription Cancellation and Refunds
You may cease using our Services and cancel your Subscription at any time through your personal account or through the Payment Processor.
In accordance with European Union consumer protection legislation (the Right of Withdrawal), the user has the right to withdraw from the Subscription within 14 days of its initial purchase. In this case, you are entitled to a full refund.
After the expiration of the 14-day period from the initial purchase of the Subscription, the user may cancel the automatic renewal of the Subscription at any time through the personal account or through the Payment Processor. After cancellation, you retain access to the Service until the end of the already paid period, unless otherwise required by law.
8.1.1. Exception to the Right to Cancel
Your right as a Consumer to cancel your order does not apply to the supply of services that you acquire and which you have had the benefit of. That is to say, if the user has used a portion of the sessions, the cost of the used sessions will be deducted from the refund amount.
8.2. Termination
Easedtalk reserves the right to suspend or immediately terminate a user's access to the Service, in whole or in part, if:
these Terms, applicable law, or the rights of third parties are violated;
the use of the Service is carried out in violation of its intended purpose, including attempts to disrupt the integrity or maliciously interfere with the operation of the Service;
there is a failure to make payment or persistent issues with payment processing through the Payment Processor.
No refund is provided, and the User shall forfeit any fees paid if the termination is caused by the user's material violation of these Terms.
8.3. Service Closure
In the event that Easedtalk discontinues the Service entirely or substantially, users will be provided with advance notice - at least 1 calendar month before the cessation. Such notice will be sent to the email address provided during registration and/or displayed within the user's personal account.
Handling of Subscriptions upon Service Closure:
Monthly Subscriptions: Easedtalk will automatically cancel (non-renewal) the Subscription to prevent automatic debiting of funds in the subsequent billing month.. The Services will remain available until the end of the current paid period.
Annual and long-term subscriptions: On the last day of Service provision, Easedtalk undertakes to make a pro-rata refund for the remaining unused sessions of the paid period through the Payment Processor (Merchant of Record).
The user agrees that receiving such a proportional refund constitutes the user's sole and exclusive remedy regarding the cessation of the Service.
9. Disclaimer of Warranties
You use the Service (the Easedtalk website) and any content, products, or services posted on it entirely at your own risk. The Service is provided "as is" and "as available" without any warranties, express or implied, statutory or otherwise.
To the fullest extent permitted by law, Easedtalk, its affiliates, licensors, suppliers, and providers hereby disclaim all warranties, including but not limited to:
the warranty of merchantability, fitness for a particular purpose, and non-infringement of third-party rights;
the warranty of continuous, secure, or error-free operation of the Service;
the warranty that defects will be corrected or that the servers are free of viruses or other malicious software;
the warranty of accuracy, completeness, reliability, or availability of any materials, information, or functionalities posted on the Service.
Easedtalk is not liable for any direct or indirect losses, damages, or liabilities, including those arising from:
inability to access the Service or any part thereof due to technical reasons, actions of third parties, external circumstances, force majeure events, or other circumstances beyond Easedtalk’s reasonable control;
bugs, errors, failures, defects, or security vulnerabilities in the operation of the Service;
loss, corruption, or incomplete storage of any data, including account information, personal settings, or user data;
viruses or other malicious software that may infect the user's device;
losses arising from the use or inability to use the Service, including situations beyond Easedtalk's control (e.g., hosting failures, user equipment failures, internet connection problems, or external technical issues);
actions or omissions of third-party service providers, including payment processors, video conferencing services, or integrated platforms.
Easedtalk has the right to change, suspend, or discontinue the operation of the Service, entirely or partially, at its sole discretion, at any time, including for technical maintenance, updates, or for other reasons, without prior notice and without liability to compensate for any resulting losses.
You bear sole responsibility for any actions or inactions taken in connection with the use of the Service, and you agree that Easedtalk has no promises or warranties other than those expressly stated in these Terms.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Easedtalk, its affiliates, licensors, service providers, employees, agents, officers, shareholders, or directors ("Easedtalk Parties") shall not be liable for damages of any kind arising out of or in connection with the use or inability to use the Service (the Easedtalk website), its services, content, or products.
This exclusion of liability includes, but is not limited to, any direct, indirect, incidental, consequential, special, or punitive damages, such as:
bodily injury, pain and suffering, or emotional distress;
loss of revenue, profits, business, or anticipated savings;
loss of use, goodwill, data, information, or user content;
losses arising from tort (including negligence), breach of contract, or other legal grounds.
This limitation of liability applies even if any warranties expressly or implicitly provided in Section "Disclaimer of Warranties" were breached, and even if the remedies set forth herein fail of their essential purpose.
This limitation of liability does not affect liability that cannot be excluded or limited under applicable European Union law, including consumer rights that cannot be waived or limited by agreement of the parties.
11. Indemnification
You agree to defend, indemnify, and hold harmless Easedtalk, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
your alleged breach of these Terms;
your use of the Services, including your User Data and Content, content, services, and products of the platform;
your use of any information obtained from the Platform, except as expressly authorized in these Terms.
This indemnification obligation does not limit the user rights provided by applicable legislation, including European Union law, to the extent such limitation is prohibited by applicable EU law, for example, in the event of bodily injury, death, or gross negligence on the part of Easedtalk.
12. Privacy
We respect your privacy. Please review our Privacy Policy to understand our practices regarding your personal data.
By visiting, accessing, and using the Service, you acknowledge that you have read and understood our Privacy Policy, and you consent to our collection, use, maintenance, protection, and disclosure of your personal data in accordance with the Privacy Policy. The terms of the Privacy Policy are hereby incorporated by reference into these Terms.
13. Miscellaneous
13.1. Survival
All provisions of this Agreement that by their nature should survive termination shall survive termination, including, but not limited to, provisions regarding ownership, disclaimer of warranties, limitation of liability, and indemnification.
13.2. No Waiver
No waiver by Easedtalk of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure of Easedtalk to assert a right or provision shall not constitute a waiver of such right or provision.
13.3. Governing Law and Jurisdiction
For users from the European Union (B2C), any disputes shall be governed by the laws of Spain and the European Union, including mandatory consumer protection provisions.
For all other users (B2B and non-EU), this Agreement shall be governed by the laws of Spain without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms shall be submitted to the competent courts of Spain, and users consent to the exclusive jurisdiction of these courts.
13.4. Entire Agreement
These Terms, together with the Privacy Policy and all additional terms related to payment, subscriptions, and use of the Service (collectively, the "Integrated Documents"), constitute the entire agreement between the user and Easedtalk regarding the subject matter hereof.
13.5. Notices
All notices to the user will be sent via the email address provided during registration or through the Service's personal account. The user agrees to receive notices in these forms, including changes to the subscription cost, terms of use, or policies.
13.6. Force Majeure
Easedtalk shall not be liable for the total or partial non-fulfillment of its obligations under this Agreement in the event of circumstances of force majeure, including, but not limited to, natural disasters, wars, acts of terrorism, internet outages, actions of governmental authorities, or other circumstances beyond Easedtalk's reasonable control.
